The Platform Is the Strongest in This Category

Credit where the evidence supports it. ZenBusiness has invested in software and the investment shows: a coherent dashboard, formation records and agent correspondence in one interface, a level of polish that most competitors in this field have not matched. Buyers who want a general compliance console with the agent function embedded as one component are buying something real.

Two Published Figures, Only One of Which Recurs

The standalone purchase, meaning agent service bought without a formation package attached, is advertised at $99 plus state fees for the initial term and $199 per year thereafter. Both figures are disclosed. They are not equally relevant.

A California entity carries an agent for its entire existence, so the recurring figure is the operating cost and the opening figure is an acquisition cost. Evaluate the offer at $199. From the second year onward, $199 is what the arrangement costs.

The statutory work does not change to justify the step. Cal. Corp. Code § 17701.13 requires an LLC to designate, and then never let lapse, a California office and an agent for service of process, which is the role the rest of the country calls a registered agent. That obligation is identical in year one and year six. A rate that roughly doubles is not tracking a change in the service.

A $400 differential over five years, against a statutory duty defined identically for both providers. The trailing qualifier on the ZenBusiness initial term matters independently: "plus state fees" makes the checkout total conditional on which filings accompany the order, so the advertised entry price is not the amount charged.

The $99 Column, Itemized

A qualification the data requires: BetterLegal's published $90 is below $99, so cheapest is not available to us as a description. The defensible statement is that our rate ranks among the lowest flat annual prices in California and does not move at renewal.

How ZenBusiness Comes Off Your California Filing

Mechanism, first. California does not publish a change of agent form, which means the instruction most vendors give ("file the change form") describes a document that does not exist here. The agent is replaced through an updated Statement of Information, Form LLC-12 for an LLC, filed with the Secretary of State's Business Programs Division at bizfileOnline. Stock corporations use Form SI-550 and nonprofits Form SI-100. Consent from the incoming agent is recorded inside the statement, so no separate acceptance document goes to the state.

Fee, second, and the logic is purely a function of timing. An amended statement submitted between applicable filing periods to report a change of information carries no fee: $0. The same change folded into your scheduled biennial filing costs the standard $20 an LLC owes for that statement regardless, or $25 for a corporation's annual filing. The agent change itself is never separately priced.

Order of operations, third. Appoint, then file. Section 17701.13 requires the designation to be held without a break, and the statement asks for the successor's exact name and California address before it will accept a submission, so the appointment necessarily precedes the filing and the record transfers rather than lapsing. Verify on the Secretary of State's business search before closing the previous account.
